LETTER FROM THE FOUNDER & CEO

Dear colleagues, partners, and collaborators,

VOASTRA was founded not merely to deliver solutions, but to stand for something enduring. As a young and ambitious advisory firm, we are building more than projects and outcomes, we are building trust, credibility, and a legacy that will define how we are known long after individual engagements conclude.

Excellence in performance is expected. Yet excellence alone is insufficient without integrity to guide it, professionalism to sustain it, and responsibility to anchor it. How we act, decide, and represent ourselves matters as much as what we achieve.

This Code of Conduct defines the ethical principles and standards that govern all who work with or on behalf of VOASTRA, including employees, consultants, advisors, subcontractors, partners, and collaborators. It is both a moral compass and a binding framework, guiding how we think, behave, and represent the VOASTRA name across cultures, jurisdictions, and industries.

In the environments we operate, spanning energy, infrastructure, deep technology, finance, and capital markets, trust is not granted lightly. We are entrusted with sensitive information, critical decisions, and moments of profound consequence for our clients. Our reputation is shaped not only by the insight we provide, but by the discretion, fairness, and respect with which we conduct ourselves.

We are building VOASTRA with a long-term horizon. This requires each of us to act as a steward of the firm’s values, to protect its integrity, and to uphold its standards even when doing so demands courage or restraint. Ethical conduct is not a passive obligation; it is an active responsibility, one that includes speaking up, exercising sound judgment, and holding ourselves and one another accountable.

VOASTRA’s values are not symbolic, they are enforceable. This Code of Conduct defines the ethical, legal, and professional standards expected of all individuals and entities working directly or indirectly under the VOASTRA framework, including employees, consultants, advisors, subcontractors, partner firms, freelancers, and affiliates.

As a growing international advisory firm, our reputation is shaped daily by individual conduct. This Code provides guidance for navigating complex environments where discretion, judgment, and trust are paramount.

This Code is legally binding and applies across all engagements, geographies, and operating models.

It governs:

  • Corporate Responsibility

  • Professional Integrity

  • Confidentiality & Data Security

  • Personal Conduct

Corporate Responsibility

VOASTRA recognizes that advisory work exists within a broader societal and environmental context. We are committed to:

  • Respecting international human rights, labor standards, and anti-discrimination laws

  • Ethical engagement in all markets

  • Environmental stewardship and sustainable business practices

  • Supporting initiatives that contribute to public good, including pro bono work, knowledge sharing, and community development

 

We encourage our professionals to engage in purpose-driven work aligned with these principles.

Professional Integrity

Professional integrity underpins our advisory model. All VOASTRA representatives must:

  • Act with honesty, objectivity, and independence

  • Avoid and disclose conflicts of interest

  • Reject corruption, bribery, and undue influence

  • Comply fully with AML laws, sanctions, export controls, and financial regulations

  • Decline engagements that fail to meet VOASTRA’s ethical or legal standards

  • Protect against misuse of insider or non-public information

  • Follow internal rules on gifts, hospitality, and benefits

 

When uncertainty arises, guidance must be sought immediately from VOASTRA leadership or compliance.

Confidentiality & Data Security

Our work requires access to highly sensitive information. Absolute confidentiality is mandatory.

All professionals must:

  • Protect non-public information with the highest discretion

  • Use approved, secure systems including VOYAGER VAULT

  • Follow VOASTRA’s IT, data handling, and access control protocols

  • Safeguard both physical and digital assets

  • Comply with applicable data protection laws (including GDPR and equivalent regulations)

 

Breaches are treated as serious violations and may result in immediate action.

Personal Conduct

VOASTRA’s reputation depends on conduct as much as capability. All affiliated professionals must:

  • Treat others with respect, professionalism, and cultural awareness

  • Foster an inclusive, harassment-free environment

  • Represent VOASTRA responsibly in public, private, and digital contexts

  • Avoid public statements that could be misconstrued as VOASTRA’s position unless authorized

  • Balance high performance with responsible conduct

CORPORATE POLICIES & NETWORK GOVERNANCE

VOASTRA operates through a distributed and flexible global network, including independent firms and professionals. This model demands heightened discipline and coordination.

All parties operating under the VOASTRA framework are bound by our Corporate Policies, ensuring unified ethical, legal, and quality standards regardless of location or contractual structure.

  • Lobbying & Representation: Strict neutrality and pre-clearance required

  • Anti-Bribery & Corruption: Zero tolerance (EU, FCPA, UK Bribery Act)

  • Sanctions & Restricted Markets: Mandatory disclosure and approval

Leadership & Accountability

Leaders and engagement leads are expected to model VOASTRA’s standards, enforce the Code consistently, and act decisively when breaches occur. Leadership is defined by judgment, fairness, and responsibility, not control.

DATA PROTECTION & CONFIDENTIALITY

Information security is foundational to trust. All professionals must comply with VOASTRA’s data protection, IT usage, and confidentiality policies, regardless of jurisdiction.

Policies cover:

  • Data Protection & Compliance

  • Independent Professional Obligations

  • Secure IT and Communication Practices

  • Confidentiality Protocols

 

Violations may result in disciplinary or legal action.

Law Justice

COMPLIANCE & SPEAK-UP

Integrity requires action. All professionals are expected to raise concerns in good faith.

Concerns can be reported via:
